Terms and Conditions for Vendors and Sponsors at Golden Shellback Media Events

1. Sales Tax Collection: Vendors are responsible for collecting and remitting sales tax to the Florida Department of Revenue for any sales conducted during the event. This obligation includes registering and paying sales tax on all sales made at the event, independent of the event promoter.

2. Weather Conditions: This event will take place rain or shine, and no refunds will be issued due to adverse weather conditions.

3. Operational Hours: Vendors must ensure their booths are open and staffed according to the event's designated hours of operation.

4. Equipment Provision: Vendors are purchasing space only. Unless otherwise specified, vendors must provide their own tents, tables, chairs, and weights (note: stakes are not permitted for securing tents).

5. Indemnification: Vendors agree to indemnify and hold harmless Golden Shellback Media, along with its parent companies, subsidiaries, partners, sponsors, agents, employees, and assigns, from any and all claims, actions, damages, thefts, injuries, or losses to any person or property arising out of or related to the event. This indemnification covers both known and unknown claims and actions. Golden Shellback Media is not liable for any delays or failures in performance due to circumstances beyond its control, including but not limited to, pandemics, adverse weather, natural disasters, acts of terrorism, strikes, or supplier failures.

6. Taxes and Permits: Vendors are solely responsible for all sales, use, and other taxes, as well as any fees, permits, and surcharges required by federal, state, county, or municipal authorities in connection with their participation in the event. This includes obtaining and maintaining all necessary business licenses and permits.

7. Media Rights: Vendors agree to allow Golden Shellback Media to photograph and video record their booths, employees, and agents. All such media content is the sole property of Golden Shellback Media and may be used in any manner or medium without obligation to the vendor.

8. Legal Compliance: Vendors participating in Golden Shellback Media events must comply with all applicable federal and Florida state laws. Any violation of this agreement or the law is the sole responsibility of the vendor.

Additional Provisions

9. Insurance Requirements: Vendors must secure and maintain adequate insurance coverage for their activities at the event. Golden Shellback Media is not responsible for any loss or damage to vendor property.

10. Cancellation Policy: Vendors must notify the event promoter of any cancellations at least [specific number] days in advance. Refunds or credits for cancellations are at the discretion of the event promoter.

11. Safety and Compliance: Vendors must adhere to all event safety regulations and guidelines. Any hazardous materials or activities must be disclosed to and approved by the event promoter.

12. Setup and Breakdown: Vendors are responsible for their own setup and breakdown within the specified times. Vendors are also liable for any damages to the event site caused by their setup or breakdown activities.

By participating in a Golden Shellback Media event, vendors agree to these terms and conditions.
